Terms and Conditions
If you’re reading these terms, then we are well on our way to changing the way the philanthropic space raises funds for charity. We have many things in the future for those who are involved in our movement and project! 1. Definitions
"TrustFund Werewolves" refers to both the original collection of 11,111 randomly generated dynamic avatars; as well as the "Ferals”. A collection of 10,000 patriarchal founders of the “Manor”.
“TrustFund Werewolves” is defined as any individual art, design, or 2D drawings that may be associated with a TrustFund Werewolves dNFT that you Own.
“Own” is defined as possession of a TrustFund Werewolves dNFT in your Ethereum wallet, where proof of such possession is recorded on the blockchain.
"Rig/Image/Model" are defined as individual PNG/GIF/JPEG and underlying files containing all proprietary TrustFund Werewolves traits.
"Traits" are defined as the distinguishing characteristics and proprietary individually layered art files associated with each TrustFund Werewolves dNFT. These includes but are not limited to Eyes, Eyewear, Mouths, Headwear, Body, Clothing, Background and Accessories as well as Wearables and Extras.
2. Terms of Sale
By placing an order on the Site, you agree that you are submitting a binding offer to purchase an TrustFund Werewolves dNFT or other Service. If you are the initial purchaser of a TrustFund Werewolves dNFT or you are purchasing a Service, then all amounts due are to be paid to Rare Hippo, LLC. If you are not the initial purchaser of a TrustFund Werewolves dNFT, then amounts may be paid to the-then holder of the TrustFund Werewolves dNFT. You also acknowledge and agree that Rare Hippo LLC receives 10% of every subsequent sale of a TrustFund Werewolves dNFT (“Royalty”). For example, if you are the initial purchaser, and you sell a TrustFund Werewolves dNFT for 1 ETH to a subsequent purchaser, (.1 ETH) will automatically be transferred to Company and you will receive (.9 ETH). Rare Hippo LLC has the right collect Royalties for TrustFund Werewolves dNFT sales in perpetuity and may use those funds in any manner the Company sees fit. Notwithstanding the foregoing, the Rare Hippo LLC has committed to donate 10% of all Royalties the Company receives annually to a charity of Company’s choosing and 5% to a scholarship fund encouraging and benefitting children to go into STEM. The Company may make such payments at the time it desires, but no less than once per year.
In addition, when you buy or sell a TrustFund Werewolves dNFT on this Site, you agree to pay all applicable gas fees and transactions fees associated with the purchase and you authorize Us to automatically charge and collect such fees from your payment. We will always display a breakdown of any transaction or other fees prior to your purchase or sale of a TrustFund Werewolves dNFT.
No refunds are permitted except with respect to any statutory warranties or guaranties that cannot be excluded or limited by law.
3. What We Own
The name and Intellectual Property involved in the TrustFund Werewolves dNFT collection (“TrustFund Werewolves”) are owned by Rare Hippo LLC. All rights that are not specifically granted to the users and owners of TrustFund Werewolves below are reserved by the Company. This includes but is not limited to the intellectual property rights surrounding the “TrustFund Werewolves” and the “The Pack” names, logos, layer files, trademarks, the website, the look and feel of the user interface, the smart contract code, or anything else not specifically granted by any following licenses.
4. You Own Your TrustFund Werewolves
By holding a TrustFund Werewolves dNFT in your Ethereum wallet, you gain full and complete ownership of your DNFT as well as the opportunity to utilize this dNFT in minting or receiving subsequent opportunities available only to TrustFund Werewolves holders.
All dNFTs ownership is verified cryptographically on the Ethereum Blockchain. This is proof of ownership and grants rights within this document. Once the dNFT leaves ownership, all Personal and Commercial use terms are revoked.
5. Personal Use:
Subject to compliance with these terms, TrustFund Werewolves grants you a license to use, copy, display, and modify the TrustFund Werewolves dNFTs that you own for TrustFund Werewolves dNFT Art. This usage is granted world-wide.
This usage is for the limited purposes of:
- Personal and Non-Commercial Use
- Display and usage of your dNFT on External Websites
- Ability to Buy, Sell, and Trade your dNFT
6. Commercial and Derivative Rights
We appreciate your desire to utilize TrustFund Werewolves in various commercial ways, and we are open to you doing just that! When it comes to limiting commercial rights, however, we want you as an dNFT holder to realize that you must use the TrustFund Werewolf in its entirety!
Use of the TrustFund Werewolves dNFT Licensed Materials must be in full and in their entirety. Licensed use of TrustFund Werewolves must include the complete Rig/Image/Model and rights are reserved for any and all underlying image files including layered filed for individual proprietary TrustFund Werewolves traits or the individual proprietary Chainlink DONs files that complete each asset. These rights are reserved for the Company and are expressly prohibited to be used outside of the full Rig/Image/Model. These individual layered files are proprietary and of TrustFund Werewolves's own creation.
TrustFund Werewolves expressly prohibits the use of any proprietary, individual traits or crafted layers in any and all other projects. TrustFund Werewolves also prohibits the sale or promotion of counterfeit dNFTs or dNFT collections. Counterfeit dNFTs or collections that contain art identical to or substantially indistinguishable from the original TrustFund Werewolves collection, including:
- dNFTs described as knock off, replica, imitation, clone, faux, fake, mirror image, or similar terms when referring to an dNFT or dNFT Collection in an attempt to pass themselves off as genuine TrustFund Werewolves creations.
- Non-genuine products that mimic TrustFund Werewolves features or proprietary traits in an attempt to pass themselves off as genuine TrustFund Werewolves creations.
Otherwise, you are free to use your TrustFund Werewolves in the fullest sense of commercial and derivative use cases.
However, user shall not use any TrustFund Werewolves Licensed Materials in any way, or in connection with any material, which is unlawful, fraudulent, libelous, defamatory, obscene, pornographic, profane, threatening, abusive, hateful, offensive or otherwise objectionable or unreasonable or infringing upon any laws or regulations or intellectual property rights or proprietary rights or confidentiality obligations and you shall indemnify and defend TrustFund Werewolves against any claims, damages, proceedings, loss or costs arising from such use. User shall not use the TrustFund Werewolves Licensed Materials in any way that could be construed as being adverse or derogatory to the image of TrustFund Werewolves or any of its subjects.
7. Future Projects
By holding a TrustFund Werewolves dNFT, you will have the opportunity to participate in a variety of future opportunities, including but not limited to: TrustFund Werewolves “Blue Bloods” mint reservation, airdrops, membership into “The Manor”, access to events, etc.
8. TrustFund Werewolves are NOT Investment Vehicles
TrustFund Werewolves are collectible digital art pieces that also function as fun, Non-Fungible Tokens for you to collect. They were created as art pieces intended for people to enjoy by collecting, not as a financial instrument. TrustFund Werewolves makes absolutely no promises or guarantees regarding the value of TrustFund Werewolves dNFTs aside from the one that we will strive to do the best for the project, the community, and the charities TrustFund Werewolves benefit.
9. Taxes
You are entirely and solely responsible for any tax liability which may arise from minting, selling or owning your TrustFund Werewolves dNFTs.
10. Children
The TrustFund Werewolves project is not targeted towards children. You agree that you are over the age of 18, or above the legal age of your jurisdiction, whichever is greater.
11. Dispute Resolution; Arbitration
All disputes arising out of or in connection with these Terms, including without limitation your access or use of the Site, or to any products sold or distributed through the Site, will be referred to and finally resolved by arbitration under the rules of the American Arbitration Association. The case will be adjudicated by a single arbitrator and will be administered by the American Arbitration Association in accordance with its applicable rules. Each party will cover its own fees and costs associated with the arbitration proceedings. The place of arbitration will be Richmond, Virginia. The award of the arbitrator will be final and binding, and any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. Notwithstanding the foregoing, we may seek and obtain injunctive relief in any jurisdiction in any court of competent jurisdiction.
WITH RESPECT TO ANY DISPUTE ARISING OUT OF OR RELATED TO THESE TERMS, INCLUDING WITHOUT LIMITATION DISPUTES RELATED TO THE SITE OR ANY PRODUCTS SOLD OR DISTRIBUTED THROUGH THE SITE, OR THE SMART CONTRACTS: (I) YOU HEREBY EXPRESSLY GIVE UP YOUR RIGHT TO HAVE A TRIAL BY JURY; AND (II) YOU HEREBY EXPRESSLY GIVE UP YOUR RIGHT TO PARTICIPATE AS A MEMBER OF A CLASS OF CLAIMANTS IN ANY LAWSUIT, INCLUDING BUT NOT LIMITED TO CLASS ACTION LAWSUITS INVOLVING ANY SUCH DISPUTE.
These Terms are Subject to Change
We may revise these Terms from time to time, but the most current version will always be on TrustFund Werewolves.com/terms. You are responsible for reviewing and becoming familiar with any such modifications. Revisions deemed material, in the sole discretion of TrustFund Werewolves, will include a notification via Twitter or Discord. By continuing to access the TrustFund Werewolves website and by holding a TrustFund Werewolves dNFT, you agree to be bound by the current Terms.
